APEX Terms of Service

These Terms of Service (“Terms”) govern use of the APEX automation software, APEX Cloud services, and related services provided by Arrakis Systems, Inc. (“Arrakis Systems”).

By accessing or using APEX, you agree to these Terms.

Use of the Service

APEX is intended for authorized users of Arrakis Systems automation systems. You may use APEX only for lawful purposes and in accordance with your applicable APEX license, subscription, or service agreement.

Users are responsible for maintaining the confidentiality of their login credentials and for activity performed through their accounts.

Account Access

Access to APEX may require authentication through Google or another supported authentication provider. Authentication verifies the identity of the user but does not independently grant access to an APEX station. Station and feature access may be limited according to permissions established by Arrakis Systems or the station administrator.

Availability

Arrakis Systems works to maintain reliable operation of APEX but does not guarantee that cloud services, internet connectivity, remote access, or third-party services will be available at all times.

Interruptions to internet or cloud services may affect remote access to APEX. Operation of locally installed broadcast automation components may be independent of remote APEX Cloud access where applicable.

Acceptable Use

Users may not attempt to:

• Gain unauthorized access to APEX systems or other users' accounts.

• Circumvent security or access restrictions.

• Interfere with the operation of APEX or its supporting infrastructure.

• Use APEX for unlawful purposes.

• Reverse engineer or misuse the service except where permitted by applicable law.

Third-Party Services

APEX may use third-party services for authentication, hosting, communications, or other functionality. Use of those services may also be governed by the applicable provider's terms and policies.

Software and Intellectual Property

APEX, including its software, interface, documentation, trademarks, and related materials, is owned by Arrakis Systems or its licensors and is protected by applicable intellectual property laws.

Use of APEX does not transfer ownership of any Arrakis Systems intellectual property to the user.

Limitation of Liability

To the extent permitted by applicable law, Arrakis Systems will not be liable for indirect, incidental, special, consequential, or similar damages resulting from use of or inability to use APEX.

Users remain responsible for maintaining appropriate operational procedures and backups for their broadcast systems.

Termination

Arrakis Systems may suspend or terminate access to APEX when an account is no longer authorized, a subscription or license has expired, these Terms have been violated, or suspension is reasonably necessary to protect the security or operation of the service.

Changes to These Terms

Arrakis Systems may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date.
